AREVA Group S.A. announces takeover offer for shares of REpower Systems AG

Hamburg, 22 January 2007. The largest single shareholder of REpower Systems AG (WKN 617703), French AREVA S.A., announced today its intention to make a friendly takeover offer to all shareholders of REpower Systems AG. This offer represents a cash offer of EUR 105.00 per share and a premium of 44 per cent on the three-month average of the stock price.

The Executive Board appreciates the further engagement of AREVA S.A. and after an extensive check of the Offer Document will publish its Reasoned Opinion. In particular, it welcomes AREVA’s statement according to which it is planned to “create a worldwide centre of competence for wind energy in Germany”.

On this, REpower’s CEO Prof. Fritz Vahrenholt explains: “REpower and AREVA have successfully worked together in various business fields for a long time and we have also known the company as our major shareholder with a stake of nearly 30 per cent for over one year. Our co-operation until now has shown that AREVA supports our strategy and will accelerate our future growth through their commercial and financial strength. This is why we believe that AREVA – as one of the leading companies in the energy sector – is the right partner for us.”
